Advisory
An investor’s perspective. On your side of the table.
We advise founder-owned businesses on sales and ownership transitions, helping owners prepare their financial story, evaluate buyers, and negotiate valuation and terms. Our perspective comes from both sides: institutional sell-side roles and ownership itself.
The Advantage
Experience on both sides of the table.
Our advisory practice rests on two kinds of experience. Our principals have owned and acquired businesses, and in prior roles they worked on the sell side of transactions representing Fortune 500 companies, entrepreneurs, and businesses at every stage of the business lifecycle.
That means we have helped prepare businesses for sale, manage buyer outreach, and negotiate valuation and terms in institutional and entrepreneurial settings, and we have evaluated acquisitions ourselves. Understanding how buyers examine a business helps us prepare owners for the financial and commercial questions that shape a transaction.
We work with founder-owned companies, generally with enterprise values of $150 million or less. Experienced principals stay directly involved, whether you are preparing for buyer outreach or already in discussions.
Engagements
Preparation, perspective, and practical decisions.
Financial preparation
Build a clear financial story and a defensible normalized EBITDA position, with support for the adjustments buyers will examine.
Valuation and buyer evaluation
Assess valuation, buyer fit and proposals in the context of the owner’s financial objectives and the business’s future.
Structure and key terms
Consider cash at closing, rollover equity, contingent payments, and post-sale obligations. The headline price is only part of the outcome.
Transaction coordination
Support diligence and closing discussions, working alongside the owner’s accountants and legal counsel.
Industry Experience
Broad perspective. Focused on your business.
Our experience includes services businesses, fintech, chemicals, waste management, transportation and logistics, and industrials. These are examples of our experience, not the limits of our coverage.
Before outreach, or after discussions begin.
Some owners need time to prepare. Others already have an offer and want help understanding what it means. We tailor our involvement to the stage of the transaction and the decisions ahead.
